Business Terms of Service

The agreement between Converx and each business that uses the Converx workspace: plans, fees, payment, access, data, and the responsibilities of both sides.

Version 1.0 · Effective 2026-10-07

1. Agreement and definitions

These terms form an agreement between Converx Company Limited ("Converx") and the business that applies for and uses the Converx workspace at app.converx.net (the "Business"). The person who applies on the Business's behalf confirms they are authorized to bind it.

The agreement consists of these terms, the order confirmation Converx issues for the Business's plan (the "Order"), the Data Processing Addendum, and the Acceptable Use Policy. If they conflict, the Order prevails, then the Data Processing Addendum, then these terms.

  • "Owner": the account holder who controls the Business's organization in Converx.
  • "Team member": a person the Owner invites and gives access to.
  • "Customer data": personal data about the Business's own customers that the Business or its team records in Converx.
  • "Billing period": one calendar month, starting at midnight in the Business's time zone.

2. Application and approval

A Business applies from its Owner account. Converx reviews every application and may contact the Business, arrange a demonstration, and agree a plan and setup engagement before deciding. Converx may decline an application. Applying does not start a subscription or grant access.

On approval, the organization is created in a setup state. The Business completes setup — branch, business identity, opening hours, receipt details, at least one service, and an account recovery method — before its first payment is verified and the workspace becomes fully operational.

3. Plans and entitlements

Converx offers the Marketplace, Basic, Standard, and Business plans, and Enterprise arrangements by agreement. The Order states the plan, price, any agreed optional setup fee, and any add-ons. Each plan has limits — for example on login accounts (pending invitations count toward the limit), branches, and included employee records — described in the workspace and the Order. There is no limit on customers, appointments, or sales, but anti-abuse limits apply equally to every plan and cannot be purchased away.

Marketplace is a listing-only plan: the Business's public listing invites customers to call to book and does not take online bookings. Any free introductory period on Marketplace is granted by Converx at its discretion, is not a trial, and cannot be extended or renewed.

There is no free trial. A Business on a paid, active Basic plan may be offered one Standard evaluation of fourteen consecutive days, activated by Converx, once per organization. It cannot be paused or restarted, includes no Standard message credits, and returns to Basic automatically with all data kept.

Features described as planned, previewed, or coming later — including any conversation inbox or external messaging channel — are not part of the Services until Converx makes them available to the Business in writing. Where a feature requires a separate purchase, its terms will be set out in an Order.

4. Fees and payment

  • The Business pays the monthly plan fees and any optional one-time setup fee expressly agreed in the Order, in the currency of the Business's country. Setup is optional on every plan, including Marketplace; declining it does not prevent subscription activation.
  • Launch or promotional prices apply only as stated in the Order, do not combine with other offers, and end at the time the Order states, after which the list price applies.
  • The Business pays by bank transfer to the account Converx specifies and submits the transfer reference, amount, date, and transfer screenshot in the workspace. Converx does not charge any card or account automatically.
  • A billing period starts only when Converx has matched and verified the payment. Converx records the payment and its verification.
  • Fees exclude taxes. The Business pays any applicable taxes, duties, and bank charges, other than taxes on Converx's income.
  • Fees are non-refundable except where the Order says otherwise or the law requires a refund.

5. Billing periods, grace, and read-only access

The workspace is fully available during a verified billing period. If the next payment is not verified by the end of a period, a one-month grace period follows in which the workspace stays usable and the Owner is reminded to pay.

After grace, the organization becomes read-only: the team can still sign in, view records, export data, and manage the subscription, but cannot make operational changes, and a public listing is no longer shown. Verifying payment restores full access. Read-only access never deletes data.

Converx may also suspend access for security reasons. A security suspension is never presented as non-payment and never deletes data.

6. Plan changes and cancellation

The Owner may request an upgrade or downgrade in the workspace. Upgrades apply once the related payment is verified; fees are not prorated unless the Order says so. Downgrades apply at the start of the next billing period. Features the new plan does not include become read-only, and where usage exceeds the new limits, the Owner chooses which branches, logins, and employee records stay active. Nothing is deleted by a plan change.

The Owner may cancel at any time. Full access continues until the end of the paid period, after which the organization becomes read-only. A cancellation can be withdrawn before that date. Cancelling does not delete data.

7. Owner and team accounts

The Owner decides who is invited, what each team member can access, and which branches they can see, within the plan's login limit. The Business is responsible for its team's activity, for removing access when someone leaves, and for keeping credentials confidential. Converx strongly recommends that every team member enable authenticator-app sign-in.

8. Customer data and the Business's responsibilities

The Business owns its customer data and is its controller. Converx processes it only to provide the Services and as set out in the Data Processing Addendum, and never sells it or uses it for its own marketing.

The Business is responsible for having a lawful basis for the data it records; for giving its customers any required privacy information; for recording only what it needs, especially in notes about allergies, health, or treatments; for obtaining consent before taking before-and-after photos and separate consent before using them in marketing; for obtaining and recording consent before sending marketing messages and honouring opt-outs; and for answering its customers' requests to access, correct, or delete their records, using the tools Converx provides.

The Business must not record national identity numbers, payment card data, or bank credentials in Converx.

9. Public listing, bookings, and reviews

Information the Business publishes — its name, services, prices, photos, team profiles, and hours — appears on its public pages and must be accurate and lawful. The Business may choose whether to appear in Converx search.

Customers who completed a visit may review it. The Business may report a review it believes breaks our review standards; Converx decides the report and may remove the review. The Business must not offer incentives for reviews, write reviews of itself or competitors, or pressure customers about reviews.

10. Support and support access

Support is available at support@converx.net. Converx staff do not have routine access to the Business's customers, bookings, sales, or notes. Where support needs it, a limited, read-only, time-bound support grant is opened for a named case and approved by a second Converx administrator; the Owner is notified and every access appears in the Business's audit history.

11. Service availability and changes

Converx will use reasonable care and skill to provide the Services and to keep them secure, but does not guarantee uninterrupted availability, and no service-level commitment applies unless an Enterprise Order states one. Converx may improve or change the Services, and will give at least 30 days' notice before removing a feature that the Business's plan materially relies on.

12. Confidentiality

Each party will keep the other's non-public business information confidential, use it only for this agreement, and protect it with at least reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law.

13. Intellectual property

Converx owns the Services and grants the Business a non-exclusive, non-transferable right to use them for its own business during the agreement. The Business owns its content and data and grants Converx the rights needed to host and display it in the Services. Converx may use feedback freely without obligation.

14. Termination, export, and deletion

Either party may end the agreement for material breach that is not remedied within 30 days of notice. Converx may end it immediately where required by law or where the Business's use causes serious harm.

After an organization has been read-only, Converx notifies the Owner at least 30 days before archiving it and offers an export of the Business's data. Archiving ends access. The organization can be restored in full within 90 days of archiving; after that, its data is deleted or anonymized, except financial records kept for the period the law requires, as described in the Data Retention Policy.

15. Warranties and disclaimers

Each party confirms it has authority to enter into this agreement. Except as expressly stated, the Services are provided "as is" and Converx gives no other warranty, including fitness for a particular purpose, to the extent the law allows. The Business is responsible for its services to its customers, its pricing, and its tax and employment obligations; reports in Converx support those obligations but are not professional advice.

16. Limitation of liability

Neither party is liable for indirect or consequential loss, or for lost profits, revenue, or goodwill. Each party's total liability under the agreement in any twelve months is limited to the fees the Business paid Converx in those twelve months. These limits do not apply to the Business's payment obligations, to breach of confidentiality, to either party's indemnity obligations, or to liability that cannot be limited by law.

17. Indemnity

The Business will compensate Converx for third-party claims arising from the Business's services to its customers, its unlawful processing of customer data, or content it publishes. Converx will compensate the Business for third-party claims that the Services, used as permitted, infringe that party's intellectual property rights.

18. General terms

This agreement is governed by the laws of the Republic of the Union of Myanmar, and disputes go to the competent courts of Yangon, Myanmar. Converx may update these terms with at least 30 days' notice to the Owner; changes do not reduce rights already paid for in a current billing period. Neither party is liable for delay caused by events beyond its reasonable control. The Business may not assign the agreement without Converx's consent. Notices to Converx go to legal@converx.net; notices to the Business go to the Owner's account email or mobile number.
